The online shopping platform www.packso.com.au is a marketplace to connect buyers and sellers. PackSo is not the seller of product and services offered for sale on the Marketplace and is simply facilitating the transaction through its Marketplace. We accept no legal or transactional risk associated with your purchase and accept no responsibility placed on sellers under the law or otherwise.

 

  1. Overview
    1. PackSo, ABN: 91 641 054 408 (we, us, our, PackSo) operates an online business to business marketplace with domain address www.packso.com.au (Marketplace) on which businesses (your, your) can buy products and / or services from our registered sellers (Seller). These Terms and Conditions (Terms and Conditions) constitute an agreement between PackSo and you for the purpose of your use of the Marketplace and any pages embedded within the Marketplace from time to time. These are the Buyer terms and conditions and apply to Buyers only.
    2. If you are a Seller, access our Seller Terms and Conditions at [link to be inserted].
    3. Some of the key features of our Marketplace include:
  • (a) Search and find Seller’s profiles on the Marketplace;
  • (b) Order and purchase products and / or services listed for sale by Sellers on the Marketplace;
  • (c) Receive notifications regarding your purchases;
  • (d) Pay for your orders; and
  • (e) Rate and review a Seller and their service and / or product.
We reserve the right to update, modify, replace, limit, and expand the Marketplace and its functionality. You should read these Terms and Conditions carefully prior to using the Marketplace.

 

  1. Acceptance of Terms and Conditions
    1. These Terms and Conditions record an agreement between you and us for the purpose of you browsing or using the Marketplace.
    2. By using the Marketplace you are accepting these terms and conditions and agree to be bound by them.
    3. We reserve the right to make changes to these Terms and Conditions from time to time without notice.

 

  1. Marketplace only
    1. The Marketplace provides a marketplace through which you can buy products or services from Sellers (Transaction). Our involvement in the Transaction is limited to that of a facilitator to the Transaction in consideration of which we charge relevant Sellers a commission payment. We are not and do not purport to be a Seller, guarantor, or otherwise a contractual party to the Transaction. We are in no way responsible for completion of the Seller’s obligations and by transacting with the Seller you assume all legal and transaction risk in dealing with the Seller.
    2. Our involvement in the Transaction is limited to the following capacity:
  • (a) Connecting you with the Seller via our Marketplace;
  • (b) Facilitating the Transaction by allowing the Seller to sell and you to buy a product or service through the Marketplace; and
  • (c) Collecting payment from the Buyer and remitting it to the Seller.
When you buy a product or service from a Seller through the Marketplace, you are entering into a legally binding contract with the Seller. We are not a party to this contract and are not responsible for the performance of you or the Seller’s obligations under this contract. Sellers may have their own terms and conditions for the products or services they have listed for sale on the Marketplace. When this is the case, your purchase is subject to the Seller’s terms and conditions which you should review carefully before finalising the Transaction. In some cases, individual Sellers may not have written terms and conditions for the products or services they are selling on the Marketplace. Where this is the case, your purchase is subject to terms and conditions implied at law (but only to the extent that such implied terms are not expressly and lawfully excluded by the Seller). Please make yourself aware of such implied terms before finalising the Transaction. By using the Marketplace, you fully release and discharge us from any claims, actions, demands or proceedings which may arise from a Transaction. You agree that we are in no way liable for any obligation arising from a Transaction, including but not limited to:
  • (a) Delivery or performance of a product or service;
  • (b) The quality or standard of a product or service;
  • (c) Reimbursement, compensation, or damages arising from a product or service.
  • (d) Product or service warranties provided by the Seller; or
  • (e) Product or service warranties and obligations placed on the Seller of a product or service under a relevant law.
For the avoidance of doubt, we are not, nor do we purport to be, in relation to any Transaction:
  • (a) A Seller;
  • (b) The merchant of record; or
  • (c) A party to the contract applying to the Transaction.
You acknowledge that we are entitled to a commission payment on each Transaction, which is levied against the Seller.

 

 

 

  1. Use
    1. To be eligible to purchase products or services through the Marketplace, you must register for an account in accordance with this clause.
    2. To register an account and / or place on order on the Marketplace you must be one of the following:
  • (a) A duly registered business authorised to operate in Australia;
  • (b) An educational organisation;
  • (c) A governmental or quasi-governmental authority or body; or
  • (d) A not-for-profit, non-profit, charity, or similar organisation.
To register an account and / or place an order, you may be required to provide (among other things):
  • (a) Details of your business, including:
    • (i) Name;
    • (ii) Address; and
    • (iii) ACN or ABN as the case may be
  • (b) Valid contact details including;
    • (i) An email address; and
    • (i) A telephone / mobile number.
  • (c) A valid Australian credit card number or bank account for payment purposes;
  • (d) A name and address for delivery purposes; and
  • (e) Any other information required to complete the registration or ordering process, what constitutes Client Data may vary from time to time, noting that we may require additional information to that set out above.
Failure to supply correct Client Data may result in us being unable to process or comply with your order, and / or may limit your access to the Marketplace. We reserve the right to decline your registration request if you do not comply with our registration requirements as detailed in these Terms and Conditions and on the Marketplace. You agree to permit us to use your Client Data for the purpose of processing or complying with your order and providing the functionality of the Marketplace and any related purpose. You acknowledge that in order to do so, we may share the Client Data with other parties, including Sellers, financiers, stakeholders and suppliers. After completing the order process on the Marketplace, you will receive an email from us acknowledging that we have received your order. Please note that this does not mean that an order has been accepted. An order will relate only to the product or service the subject of each individual Transaction. Each Transaction that we facilitate results in a separate binding agreement between you and the relevant Seller for the supply of a product or service. You agree to use the Marketplace for its intended purpose. You may not use the Marketplace for any illegal or unauthorised purpose, including the transmission of malware. You must not use the Marketplace to violate any laws, including but not limited to copyright laws. You must not use the Marketplace for any unconscionable behaviour or activity, including but not limited to:
  • (a) Engaging in abusive, derogatory, discriminatory, or vexatious behaviour;
  • (b) Engaging in any activity that disrupts or corrupts the Marketplace or the networks that host the Marketplace; or
  • (c) Attempting to hack, reverse-engineer, disable, circumvent, or otherwise gain access to any security, database, or other secure aspect of the Marketplace.
You are responsible for maintaining the security of your login and account information (including the password). We are not liable for any loss or damage from your failure to comply with this security obligation. You are responsible for all activities that occur on your account, and we will not be liable for any loss or damage from activities on your account. All Client Data will be stored and maintained by or on behalf of us in accordance with relevant law.

 

  1. Accepting or declining a Transaction
    1. We reserve the right to accept or decline to process any Transaction initiated on the Marketplace for any reason, including if the requested product or service is not available or if there is an error in the price or the product description posted on the Marketplace.
    2. If we decline to process a Transaction, we will endeavour to notify you at the time you place an order or within 48 hrs after you submit an order.
    3. If we decline to process a Transaction, to the extent that we have received funds from you, a full refund, less any applicable credits or discounts, will be made within 10 business days.

 

  1. Third party payment service
    1. The Marketplace uses a third-party service provider for facilitation of Transactions between you and the Seller and is not liable for any issues, including charges from your financial institution, which may arise as a result of this service.
    2. We use PayPal to process payments on the Marketplace. Payments submitted through the PayPal payment processing service are subject to PayPal’s terms and conditions which can be viewed at https://paypal.com/au.

 

  1. Price & payment
    1. By accepting these Terms and Conditions you authorise us or any third-party service provider to debit your account at the relevant financial institution connected with the payment details identified and provided in your Client Data.
    2. All prices listed on the Marketplace are in Australian Dollars. GST and charges associated with the delivery of your order will be charged separately at the time of payment.
    3. Payment for all products and services must be by credit or debit card or any other payment method listed on the online checkout page of the Marketplace.
    4. When you enter into a Transaction on the Marketplace, payment for the Transaction will be accepted and processed by us, PayPal, or our nominated third party payment processor, and the order will be sent to the Seller at which point they may either accept and confirm the order or reject the order. The Seller will accept or reject the order at its own discretion, and we assume no liability and make no warranty or guarantee that the order will be accepted by the Seller.
    5. Orders will be charged to your nominated payment method.
    6. You acknowledge that the payment details provided have been verified to confirm the accuracy of the details provided.
    7. You acknowledge that you have authority to utilise the nominated payment details for the purpose of entering into any Transaction.
    8. You acknowledge that it is your responsibility to ensure that there are sufficient cleared funds or financial capacity in the nominated account or means of payment to honour the Transaction when it falls due.
    9. We will not be held responsible for any fees and charges imposed by your financial institution or any other third party that may be incurred if there are insufficient funds in your account or the payment fails.
    10. Payments will be processed at the time when you place an order on the Marketplace or at a reasonable time thereafter.
    11. From time to time, where you have elected to pay for a Transaction with a third party financiers, we may accept payment from certain third party financiers included but not limited to XXXXXXX (Financier). When payment is being made with a Financier, the payment is subject to the relevant terms and conditions of that Financier. We are in no way providing or purporting to provide such finance to you or to any party. We accept no liability, and you release and discharge us from and indemnify us against any loss, damage, claim or action otherwise relating to payment made through a Financier.
    12. Your order will not be processed until payment is received in full by us, PayPal or our nominated third party (including any applicable delivery fees and other charges).
    13. Where the order is accepted by the Seller, confirmation will be sent to the email address supplied in your Client Data and payment will be remitted to the Seller.
    14. Where the order is rejected by the Seller, notice of this will be send to the email address supplied in your Client Data and payment will be refunded to you within 10 business days.
    15. All orders placed are final and you cannot change or cancel your order, unless such change or cancellation is otherwise required by law or allowed for in these Terms and Conditions.
    16. If the Seller cancels an order that has already been processed, or otherwise fails to deliver your order whether in full or in part, you agree that any complaint, demand for refund or remedy, legal action, or action otherwise is to be taken against the Seller directly and you fully release and discharge us from any such action. To the maximum extent permitted by law, we will not be liable to you for any loss, whether liquidated or otherwise, associated with you entering into a Transaction with a Seller.
    17. We accept no responsibility for transactions entered into outside of the marketplace, even in circumstances where you became aware of the Seller via the Marketplace.
    18. In the event that we suspect the existence of a fraud account:
  • (a) We reserve the right to investigate all accounts where we suspect incorrect or fraudulent activity occurred.
  • (b) We reserve the right to terminate your order following the investigation.

 

  1. Products and services
    1. Products or services displayed on the Marketplace are listed for sale by the relevant Seller. You agree that to the extent permitted by law, we will not be held responsible for inaccuracies or errors pertaining to products or services listed by a Seller, including but not limited to:
  • (a) Price;
  • (b) Availability; or
  • (c) Quality or suitability.
You acknowledge and understand that we are not acting as Seller and accept no responsibilities placed on Sellers under the law or otherwise. You agree that you will make your own enquiries to assess the suitability of a product or service listed prior to entering into a Transaction to purchase or pay for the product or service. You agree and accept that we make no warranty or guarantee as to the quality or suitability of a product or service listed on the Marketplace by a Seller. You agree that a listing on the Marketplace for a product or service does not constitute an offer to sell or provide that product or service and is merely information published on the Marketplace advertising the product or service.

 

  1. Delivery and performance
    1. The Seller is responsible for the delivery of a product or performance of a service the subject of a Transaction. We are not responsible and accept no responsibility for the delivery of a product or performance of a service listed on Marketplace.
    2. Delivery and performance timeframes will be provided where possible. Where delivery and / or performance timeframes are provided, these are estimates only and we make no guarantee or warranty as to the accuracy of this time frame. Where delivery and / or performance timeframes are not provided, you may contact the Seller directly to obtain an estimated delivery date or performance date. Delivery dates may vary and may be subject to delay.
    3. Sellers are responsible for organizing delivery and may charge different rates. You are responsible for confirming the fees associated with delivery prior to processing your order. You are not entitled to a refund after an order has been processed if you are unhappy with the delivery charges.

 

  1. Refunds and returns
    1. Notwithstanding any other provision of these Terms and Conditions, we are in no way required to refund any money spent in a Transaction.
    2. Sellers will have their own policies and procedures in relation to returns. We make no guarantee and do not warrant in any way the policies and procedures of individual Sellers in relation to returns. Where you wish to return an item, we are under no obligation to help facilitate that return.
    3. All products and services listed for sale on the Marketplace come with guarantees that cannot be excluded under Australian Consumer Law. Any claims under Australian Consumer Law with respect to a product or service are against the Seller only and you agree and fully release and discharge us from any liability, claim, or action against the supply or delivery of a service or product under Australian Consumer Law.
    4. Products you purchase from Sellers on the Marketplace may come with warranty documents. Any such warranty is provided by the Seller only and is not given by us.

 

  1. Termination
    1. We may at our discretion terminate these Terms and Conditions, cancel your registration, or cease providing you access to the Marketplace if:
  • (a) You breach any of these Terms and Conditions; or
  • (b) You breach the terms and conditions of a Seller.
You may terminate these Terms and Conditions by ceasing to use the Marketplace. Each time you use the Marketplace these Terms and Conditions apply continuously and anew.

 

  1. Disclaimer and limitation of liability
    1. While we have taken reasonable steps to ensure the accuracy, currency, availability and completeness of the information contained on the Marketplace, that information is provided in good faith and on an “as is” and “as available” basis and we do not make any representation or warranty of any kind, whether express or implied, as to the reliability of the information.
    2. We make no warranties, representations, or conditions of any kind, express, statutory or implied as to:
  • (a) The operation and functionality of the Marketplace;
  • (b) The accuracy, integrity, completeness, quality, legality, usefulness, safety and IP rights of any of the Marketplace content; and/or
  • (c) The products and services associated with the Marketplace or its content. We further disclaim all warranties, express, statutory or implied, including, but not limited to, implied warranties of merchantability, merchantable quality, durability, fitness for a particular purpose and/or non-infringement. No advice or information, whether oral or written, that you obtain from us shall create any warranty, representation or condition not expressly stated herein.
To the extent permitted by law, we do not represent or warrant that the Marketplace will be available at all times, that access will be uninterrupted, that there will be no delays, failures, errors or omissions or loss of transmitted information, that no viruses or other contaminating or destructive properties will be transmitted, or that no damage will occur to your computer system. You must take your own precautions to ensure that the process which you employ for accessing the Marketplace does not expose you to the risk of viruses, malicious computer code or other forms of interference which may damage your computer system or any other computer system. Whilst we strive to protect information transferred over the Marketplace, we do not warrant and cannot ensure the security of any information which you transmit to us. Accordingly, any information which you transmit to us is transmitted at your own risk. Nevertheless, once we receive your transmission, we will take reasonable steps to preserve the security of such information. We do not accept responsibility for any loss or damage, however caused (including through negligence), which you may directly or indirectly suffer in connection with your use of, attempted use of, or inability to use the Marketplace or any linked Marketplace, nor do we accept any responsibility for any such loss arising out of your use of or reliance on information contained on or accessed through the Marketplace. We disclaim all liability for any, and to the extent permitted by law under no circumstances will we be liable for any:
  • (a) Indirect, special, incidental, punitive, exemplary, reliance or consequential damages;
  • (b) Loss of profits, loss of contract, or loss of business opportunity;
  • (c) Loss or damage to reputation of you or any third party;
  • (d) Loss of information or data; or
  • (e) Any loss or damage,

arising out of your use of the Marketplace or in connection with these Terms and Conditions.

    1. Our maximum aggregate liability to you for any claims, damages, injuries or causes whatsoever, and regardless of the form of action (whether such liability arises due to negligence, breach of contract, misrepresentation or for any other reason), will at all times be limited to the greater of (i) the amount paid, if any, by you on the Marketplace in in the 2 months prior to the action giving rise to liability or (ii) $1.00.
    2. This clause survives the termination or expiry of these Terms and Conditions.

 

  1. Linked Marketplaces
    1. The Marketplace may contain links to other Marketplaces (Linked Marketplaces). Those Linked Marketplaces are provided for convenience only and may not remain current or be maintained.
    2. The Linked Marketplaces should not be construed as an endorsement, approval or recommendation by us the owners or operators of those Linked Marketplaces, or of any information, graphics, materials, products or services referred to or contained on those Linked Marketplaces, unless and to the extent we stipulate to the contrary.
    3. To the extent permitted by law, we accept no responsibility or liability for, and give no warranty (express or implied) of any kind in respect of, the Linked Marketplaces and your use of them or any products or services available on or through the Linked Marketplaces.

 

  1. Linking to the Marketplace
    1. You may link to the Marketplace only:
  • (a) With our prior express permission;
  • (b) In a way that is fair, unbiased, legal and does not damage or exploit our reputation; or
  • (c) In a way that does not suggest either express or implied any association or endorsement by us.
You must remove or procure the removal of any link to the Marketplace immediately upon receiving notice from us to do so. We may give such notice at our absolute discretion without justification.

 

  1. Transfer of rights and obligations
    1. These Terms and Conditions are binding on you and us and on our respective successors and assignees.
    2. You may not transfer, assign, charge or otherwise dispose of your rights or liabilities under these Terms and Conditions, or any of your rights or obligations arising under it, without our prior written consent.
    3. We may transfer, assign, charge, sub-contract or otherwise dispose of any of our rights or obligations arising under these Terms and Conditions, at any time without your prior consent.

 

 

  1. Intellectual property rights
    1. We are the owner or the licensee of all intellectual property rights in the Marketplace, whether registered or unregistered, and in the material published on it. These works are protected by copyright laws and all such rights are reserved.
    2. Nothing in these Terms and Conditions or otherwise creates an assignment of any rights in the Marketplace beyond the ability to use it for its intended use.
    3. By accepting these Terms and Conditions you undertake not to reverse engineer, replicate, or otherwise copy the Marketplace. We reserve all our rights to seek compensation, damages, injunctions, or any other remedy available to us at law if any attempt to do so, whether successful or unsuccessful, is made by you, your employees, officers, affiliates, customers, or anyone else.
    4. You may print off one copy, and may download extracts, of any pages from the Marketplace for your personal reference. You must not use any part of our copyright materials for commercial purposes without first obtaining a licence to do so from us and our licensors.
    5. If you post comments on the Products or Services to any Marketplace, blog or social media network (Commentary) you must ensure that such Commentary represents your fairly- held opinions. By agreeing to these Terms and Conditions, you irrevocably authorise us to quote from your Commentary on the Marketplace and in any advertising or social media outlets which we may create or contribute to.
    6. Nothing in these Terms and Conditions, and nothing arising out of your use or access to the Marketplace, or any Transaction initiated on the Marketplace, transfer or assigns any title, ownership, license or legal right otherwise in the intellectual property of the Marketplace.

 

  1. Force Majeure Events
    1. We will not be liable or responsible for any failure to perform or delay in performance of any of our obligations under these Terms and Conditions that is caused by events outside our control (Force Majeure Event).
    2. A Force Majeure Event includes any act, event, non- happening, omission or accident beyond our reasonable control and includes in particular (without limitation) the following:
  • (a) Strikes, lock-outs or other industrial action;
  • (b) Civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war;
  • (c) Fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster;
  • (d) Impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport;
  • (e) Impossibility of the use of public or private telecommunications networks;
  • (f) Epidemic, pandemic or other health emergency (whether declared or not); and
  • (g) The acts, decrees, legislation, regulations or restrictions of any government
Our performance under these Terms and Conditions is deemed to be suspended for the period that the Force Majeure Event continues, and we will have an extension of time for performance for the duration of that period. We will use our reasonable endeavours to bring the Force Majeure Event to a close or to find a solution by which our obligations under these Terms and Conditions may be performed despite the Force Majeure Event.

 

  1. General terms
    1. To the extent permitted by law, we reserve the right to create, collect and / or store any metadata resulting from your use of the Marketplace To the extent permitted by law, we may use metadata for a variety of functions including (but not limited to) conducting investigations, helping us manage and administer the Marketplace, for purposes of search engine optimisation and to drive traffic to the Marketplace. To the extent permitted by law, we reserve the right to share your information (including metadata) with government agencies and authorities to the extent this is required or requested of us.
    2. These Terms and Conditions contain the entire understanding between the parties concerning the subject matter of these Terms and Conditions and supersedes all prior communications.
    3. You must not modify, adapt or hack the Marketplace or modify another Marketplace or software so as to falsely imply that it is associated with the Marketplace or with us.
    4. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Marketplace, use of the Marketplace, or access to the Marketplace without our prior express written permission. We claim copyright and all other intellectual property rights over the Marketplace and reserve all of our rights.
    5. Verbal, physical, written or other abuse (including threats of abuse or retribution) of any of our employees, members, representatives, or officers, or any breach of these Terms and Conditions will result in immediate termination of this agreement and cancellation of your account. If we do this, you may be prevented from accessing your account, and / or for entering into further Transactions.
    6. We do not warrant that:
  • (a) The Marketplace will meet your specific requirements;
  • (b) The Marketplace will be uninterrupted, timely, secure, or error-free; or
  • (c) Any errors in the Marketplace will be corrected.
Each party acknowledges that, in entering into these Terms and Conditions, neither party relies on any representation or warranty (whether made innocently or negligently) that is not set out in these Terms and Conditions. Any failure by us to exercise or enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision. The Terms and Conditions constitutes the entire agreement between you and us and govern your use of the Marketplace, superseding any prior agreements between you and us. If any term or provision of these Terms and Conditions is held by a court to be illegal, invalid or unenforceable under the applicable law will not void the balance of these Terms and Conditions. Any such term or provision will be severed from these Terms and Conditions and the remaining terms and conditions will continue to be valid in accordance with their terms. These Terms and Conditions are governed by the laws of New South Wales. Disputes arising from your use of the Marketplace are exclusively subject to the jurisdiction of the courts of New South Wales.

These Terms and Conditions (Terms and Conditions) constitute an agreement between Packso and you for the purpose of your use of the Marketplace and any pages embedded within the Marketplace from time to time.

 

Packso operates the website across desktop, mobile, tablet and apps (including any subdomains): packso.com.au (together the “Websites”). Packso permits certain third party suppliers to advertise and sell their goods and services on the online shopping platform (“Packso Marketplace”).

These terms and conditions govern your access to and use of the Marketplace to advertise and sell your goods and services directly to Packso customers (“Packso Marketplace”).

This Agreement contains the terms and conditions that govern the access and use of Packso Marketplace. By registering to for and using Packso Marketplace to advertising and sell your and services, you agree to be bound by the following terms. If you are entering into this Agreement on behalf of a corporate entity, you represent and warrant to us that you have legal authority to bind that entity.

We may amend this Agreement (including the trading terms, these terms and conditions and the Marketplace Policies) at any time and at our sole discretion. If we make any material amendments, we will notify you directly by email to the email address linked to your account. Unless we advise you otherwise, all amended terms and Marketplace Policies will automatically be effective 30 days after we provide such notice to you. If you do not accept the changes you must close your account and terminate this Agreement in accordance with clauses 11.1 and 11.2.

Before registering for and using Packso Marketplace we require you to read and accept our Website Terms and Conditions, our Privacy Policy and Spam Act Policy, which are incorporated into and form part of this agreement, and are accessible here and here.

 

  1. Registration

1.1. Your use of Packso Marketplace is subject to and conditional upon Packso accepting your registration form and you successfully completing our registration process.

1.2. You represent and warrant that:

  1. a) all information you provide to us for the purpose of registering you for Packso Marketplace is true and accurate;
  2. b) you are authorised to sell your goods and services under the Seller Name you provide to us; and
  3. c) you will provide us with any documentation or evidence we require to verify the truth or accuracy of such information.

1.3. During the term of this Agreement, you must notify us in writing of any changes to your account information.

 

  1. Seller Goods

2.1. You will ensure that any Seller Goods (including any packaging and promotional materials) advertised and sold on the Packso Marketplace:

  1. a) conform with any specifications or descriptions for the Seller Goods set out in a Listing;
  2. b) will comply with all applicable Laws and do not infringe the rights of any third party;
  3. c) are of merchantable quality and are free from defects or damage;
  4. d) Do not include any marketing or promotional material that promotes another website or retailer;
  5. e) are approved for sale to the general public and meet any relevant Australian Certification Standards; and
  6. f) otherwise comply with any other requirements set out in the Marketplace Policies

2.2. You must notify Packso if you become aware of any matter which may affect the Seller Goods including:

  1. a) anything which may affect the composition or characteristics of the Seller Goods or customers’ ability to use them;
  2. b) compliance with relevant the matters set out in clause 2.1; and
  3. c) anything which has or may lead to a recall of the Seller Goods supplied due to health, safety or any other reasons.

2.3. In the case of a recall of any Seller Goods, you must immediately notify us in writing and include the following information:

  1. a) all circumstances which have led to the recall of the Seller Goods;
  2. b) any action you are taking or proposing to take in response to the recall;
  3. c) details of the progress of the recall and of any other actions taken by you in connection with the recall; and d) any other relevant matter known to the you.

2.4. If a maintenance obligation or warranty applies in relation to the Seller Goods or items incorporated in or supplied with the Seller Goods (including any statutory warranties implied by Law), you must ensure that such maintenance and warranty obligations are performed and complied with in full and that the benefit of such warranty is passed to customers.

2.5. To the maximum extent permitted by law, you are responsible for any damage or defects in Seller Goods (including any damage incurred during the delivery of Seller Goods to the customer) and for any product recall or safety alerts affecting any of Seller Goods listed on Packso Marketplace and you indemnify us for any costs or loss or damage we incur in connection with any nonconforming, damaged, defective, unsafe or recalled Seller Goods you have listed on Packso Marketplace.

2.6. You acknowledge and agree that at no time will Packso take ownership of or title in Seller Goods, and legal ownership of Seller Goods will transfer directly from you to the customer.

 

  1. Seller Listings

3.1. You must not List any Excluded Products on Packso Marketplace.

3.2. Subject to clause 3.1, you are responsible for determining which of Seller Goods you wish to List on Packso Marketplace.

3.3. Your Listings must at all times comply with our Marketplace Policies.

3.4. Without limiting clause 3.3, you will ensure that Listings comply with all applicable Laws, and do not contain any unpermitted content, such as sexually explicit content, or any content which is, or which in our sole and reasonable discretion we consider, defamatory, obscene or in violation of any third party’s copyright, trademark or design.

3.5. We will identify you as the seller of any Seller Goods the subject of your Listing. You must identify yourself as the seller of any Seller Goods on all packing slips or other information provided to customers, and identify yourself as the person to which a customer may return the Seller Goods.

3.6. In order to List your Seller Goods on Packso Marketplace, you are required to provide us with any information we notify you that is required (as determined by us in our sole discretion) in respect of each Seller Good you wish to List on Packso Marketplace, including without limitation the information specified in the Registration Form or any Marketplace Policies.

3.7. You acknowledge and agree that we have the right to edit, suspend, prohibit, remove, or take other action in relation to any Listing if in our sole discretion contravenes any term of this Agreement or any Marketplace Policies.

3.8. You acknowledge and agree that it is your responsibility to ensure all Listings are up to date and accurate at all times, and you will ensure that you take all steps necessary to ensure all of your Listings remain accurate and complete at all times.

3.9. You acknowledge and agree that Packso Marketplace uses tools to rate, or to allow customers to rate Seller Goods, which rating may be displayed on your product Listing.

3.10. When you upload content to packso.com.au Marketplace you grant us a nonexclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable (through multiple tiers) right to exercise any and all Intellectual Property Rights (including copyright and trademark rights) you have in the Listing content, in any media known now or in the future and for any other purpose.

 

  1. Sales and returns

4.1. You will:

  1. a) source, offer, sell and fulfil Seller Goods in accordance with every order placed through Packso Marketplace and this Agreement, and all terms provided by you and displayed on Packso Marketplace at the time of the order;
  2. b) deliver Seller Goods in the quantity, at the time and to the address specified by a customer in each order;
  3. c) only cancel your orders as permitted pursuant to your terms and conditions;
  4. d) include all relevant warranty and return documents with Seller Goods that comply with this Agreement and any applicable Laws.

4.2. You acknowledge and agree that, to the extent permitted by law, the Packso Warranty Terms and Conditions will not apply to Seller Goods.

4.3. You must accept, calculate and process cancellations, returns, refunds, and adjustments for the benefit of customers (whether notified by the customer directly or via Packso) in accordance with your terms and conditions and any Marketplace Policies.

4.4. We will not be liable to you if we cancel, or permit a customer to withdraw from, a transaction, including because we are unable to complete a transaction because our Website is unavailable.

4.5. You will stop or cancel orders of Seller Goods if we ask you to do so. If you have already transferred Seller Goods to a carrier or shipper when we ask you to stop or cancel an order, you will use reasonable efforts to stop or cancel delivery of that order.

4.6. You acknowledge and agree that Packso is not a party to the sales transaction between you and the buyer. Accordingly, Packso does not control any aspect of the transaction and does not guarantee the quality, safety or legality of items advertised by you, the accuracy of the content of your listings, or the shipping and delivery of goods by you.

 

  1. Payment

5.1. Customers will make payment for Seller Goods using the payment methods offered on Packso Marketplace. We are liable for transaction fees arising out of all sales of Seller Goods on Packso Marketplace.

5.2. Packso will retain a commission as specified in your registration form in respect of each of the Seller Goods sold on Packso Marketplace.

5.3. To be reimbursed the purchase price of your Seller Goods (less our commission and GST on the commission) you must update the date of dispatch of the order for your Seller Goods in our portal.

5.4. Provided you have satisfied clause 5.3 we will make payment to your nominated bank account on the terms specified in the registration form.

5.5. In circumstances where you are obligated to provide a refund as required by Law or your warranty terms and conditions, you will remit the purchase price of the relevant Seller Goods in full to the customer in accordance your warranty terms and conditions or as otherwise required by Law. You acknowledge and agree that in these circumstances, Packso will be entitled to retain the commission received in respect of the Seller Goods.

5.6. If we determine that your Packso Marketplace account has been used to engage in deceptive, fraudulent, or illegal activity, or that we will or are likely to breach a Law if we pay you, then we may, without limiting any other rights we may have withhold any payments to you, either temporarily or permanently.

5.7. Except as provided otherwise, all amounts contemplated in this Agreement will be expressed and displayed in Australian dollars, and all payments contemplated by this Agreement will be made in Australian dollars.

 

  1. GST and tax invoices

6.1. In this clause “GST’, “supply” and “tax invoice”, have the meanings given to those terms in A New Tax System (Goods and Services Tax) Act 1999 (Cth).

6.2. All Seller Goods offered by you on Packso Marketplace will be expressed and displayed for a price that excludes GST.

6.3. We are liable to pay GST on the commission we retain from the services we provide in accordance with clause 5.2.

6.4. You will be responsible for the collection, reporting, and payment of any GST payable from the supply of Seller Goods less the GST payable by us in accordance with clause 6.3.

6.5. Customers will be able to request invoices from you through their accounts with us. On request by us or from a customer, you must provide us or the customer with an invoice for Seller Goods sold at the sale price.

 

  1. No liability and indemnity

7.1. You will be solely liable for all Loss suffered by Packso as a result of a breach of this Agreement by you, or anything that you do or fail to do under or in connection with this Agreement.

7.2. Without limiting clause 7.1, you are solely responsible for any non-performance, non-delivery, misdelivery, theft, or other mistake or act in connection with the fulfilment of Seller Goods, and you will reimburse us for any Loss we may incur or refunds we may provide in connection with such delivery errors.

7.3. You are responsible and liable for any nonconformity or defect in, or any public or private recall of or safety alert for any of Seller Goods or other products provided in connection with Seller Goods, and will reimburse us for any Loss we may incur or refunds we may provide in connection with any of Seller Goods as a result.

7.4. You release us and agree to indemnify, defend, and hold harmless us, our Affiliates, officers, directors, employees, representatives, and agents against any Loss which we pay, suffer, incur or are liable for, which arises directly or indirectly from or in connection with:

  1. a) any breach by your of your obligations in this Agreement;
  2. b) any defect, failure, or malfunction of any Seller Goods, including without limitation any recall of Seller Goods, including but not limited to the Australian Consumer Law;
  3. c) violation or non-compliance of any Law by you or the Seller Goods;
  4. d) your failure to perform or improper performance of your obligations under this Agreement;
  5. e) any breach of any of the representations made, or warranties provided, by you under this Agreement;
  6. f) any actual or alleged infringement of any Intellectual Property Rights relating to Seller Goods;
  7. g) Your Personnel (including any act or omission of Your Personnel or any Claim brought or directed by Your Personnel);
  8. h) any financial loss or loss of goodwill or reputation, or any damages arising, directly or indirectly, out of your use of or your inability to use Packso Marketplace; and
  9. i) any personal injury, death, or property damage related to the matters in (a) to (i) above.

7.5. You will during the term of this Agreement and for seven (7) years after at your own cost:

  1. a) Effect and maintain in force with reputable insurers approved by Packso the insurance policies described and for the amounts set out in the registration form;
  2. b) Provide evidence of such insurance to Packso upon request;
  3. c) Administer the insurance policies and your relationship with its insurance at all times to preserve the benefits for Packso under this Agreement;
  4. d) Do nothing to invalidate any such insurance policy or to prejudice the entitlement of Packso under this Agreement; and
  5. e) Procure that the terms of such policy will not be altered in such a way as to diminish the benefit to Packso of the policies as provided at the date of this Agreement.

 

  1. Representations and warranties

8.1. You represent and warrant to us that:

  1. a) you hold and will maintain all applicable registrations and other authorisations needed to conduct your business and you are not under any restriction that prevents you conducting your business;
  2. b) you have the requisite right, power, and authority to enter this Agreement, perform your obligations, and grant the rights, licences, and authorisations in this Agreement;
  3. c) any information provided or provided by you or your Affiliates to us is accurate and complete;
  4. d) comply with the Marketplace Policies and all reasonable instructions and directions you receive from Packso in connection with your performance of your obligations under this Agreement;
  5. e) you will, at all times in performing your obligations under this Agreement, conduct yourself in a manner that is in Packso’s best interests and will not engage in any activity or conduct that may harm or diminish the reputation of Packso in any way; and
  6. f) you and all of your subcontractors, agents, and suppliers will comply with all applicable Laws in your performance of your obligations and exercise of your rights under this Agreement.

 

  1. Confidentiality

9.1. During your use of the Services, you may receive information relating to us that is not known to the general public (Confidential Information). You agree that:

  1. a) all Confidential Information will remain our exclusive property;
  2. b) you and your Affiliates will use and disclose Confidential Information only as is necessary for your participation in Packso Marketplace;
  3. c) you will not, and will cause your Affiliates not to, directly or indirectly (including through a third party), otherwise use or disclose Confidential Information to any other Person; and
  4. d) you will take all reasonable measures to protect the Confidential Information against any use or disclosure not expressly permitted in this Agreement.

 

  1. Promotions

10.1 Packso can, from time to time, offer promotions. The promotions are at Packso’s discretion and can include discounts or other incentives, can be offered to different categories of customers and can relate to specific products, categories of products or all products sold on the Packso Marketplace. Packso will not necessarily give you prior notice of any promotion. Packso will be responsible for any difference in the price paid by customers as a result of a promotion and the price you are selling the product for at the time of the promotion. Unless otherwise agreed, the commission you pay is calculated on the price of the product not including the promotion.

 

  1. Other

11.1. Closing your account: You may close your account with us at any time by notice in writing. You must inform us the date on which you would like your Listings on Packso Marketplace to be removed. You will fulfil outstanding orders in accordance with this Agreement and confirm your contact details which we will provide to customers seeking to contact you.

11.2. Termination: Either you or us can terminate this Agreement at any time without reason by notice in writing. If you terminate this Agreement we will follow the process set out in clause 11.1.

11.3. Dispute resolution: Any dispute which arises under, out of or in connection with this Agreement are governed by the laws of NSW, Australia and both you and us irrevocably and unconditionally submit to the non-exclusive jurisdiction of the NSW courts. Both you and us must seek to resolve any differences arising under this Agreement by direct negotiation for 10 days or such longer period as we agree with you before resorting to legal action.

11.4. Relationship: Nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship.

11.5. No assignment: You may not assign or novate any or all of your rights or obligations under this Agreement to a third party or purport to do so without our prior written consent (which may be given or withheld in our complete discretion).

11.6. Waiver: Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to enforce such provision or any other provision of this Agreement subsequently.

11.7. Severability: Any provision of this Agreement which is void or unenforceable may be severed from this Agreement without affecting the enforceability of other clauses.

 

In these Terms:

(a) another grammatical form of a defined word or expression has a corresponding meaning;

(b) a reference to a statute, ordinance, code or other law includes regulations and other instruments under it and consolidations, amendments, re-enactments or replacements of any of them;

(c) a reference to a document or instrument includes the document or instrument as novated, altered, supplemented or replaced from time to time;

(d) the meaning of general words is not limited by specific examples introduced by including, for example or similar expressions;

(e) headings are inserted for ease of reference only and do not affect the interpretation of these Terms.

Definitions

As used in this Agreement, the following terms have the following meanings:

"Affiliate" means, regarding any entity, any other entity that directly or indirectly controls, is controlled by, or is under common control with that entity.

“Excluded Product” means any goods or services identified in the registration form as being excluded products.

"Intellectual Property Right" means any patent, copyright, Trademark, domain name, moral right, trade secret right, or any other intellectual property right arising under any Laws and all ancillary and related rights, including all rights of registration and renewal and causes of action for violation, misappropriation or infringement of any of the foregoing.

“Packso Marketplace” means https://www.packso.com.au/ and includes any other Website owned by Packso on which your Seller Goods are listed.

"Law" means any law, ordinance, rule, regulation, order, licence, permit, judgment, decision, or other requirement, now or in the future in effect, of any governmental authority of competent jurisdiction, and all references to applicable Laws include Australian Law.

“Listing” means any listing for Seller Goods on the Packso Marketplace and to “List” means the act of Listing a Seller Good on the Packso Marketplace.

“Loss” means any claim, loss, damage, settlement, cost, expense, or other liability whatsoever.

“Marketplace Policies” means any policies issued by Packso in relation to the use of Packso Marketplace to advertise and sell Seller Goods, including but not limited to any policies relating to listing and content guidelines and customer service standards, as amended by Packso from time to time.

"Person" means any individual, corporation, partnership, limited liability company, governmental authority, association, joint venture, division, or other cognizable entity, whether or not having distinct legal existence.

"Seller Goods" means any product or service you offer for sale on Packso Marketplace or have fulfilled or otherwise processed through the Packso Marketplace.

“Trademark" means any trademark, Service mark, trade dress (including any proprietary "look and feel"), trade name, other proprietary logo or insignia, or any other source or business identifier, protected or protectable under any Laws.
